Terms of Service

1. Agreement to Terms

By accessing or using any services provided by Pantoja Digital, LLC ("Company," "we," "us," or "our"), including but not limited to NullShield, Tarvix, and AI Assistant Setup services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

Pantoja Digital provides the following services:

  • NullShield: AI-powered security testing and vulnerability assessment for AI agents, chatbots, websites, and APIs.
  • Tarvix: Custom AI agent design, development, deployment, and management services.
  • AI Assistant Setup: Configuration and deployment of AI assistant systems on cloud or client-owned infrastructure.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information during onboarding and throughout the engagement.
  • Ensure you have proper authorization for any systems submitted for security testing (see our Acceptable Use Policy).
  • Promptly address critical vulnerabilities identified in security reports.
  • Comply with all applicable laws and regulations in your use of our Services.
  • Maintain the confidentiality of your Client Portal login credentials.

4. Payment Terms

All payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees.

  • Setup fees are due upon project kickoff and are non-refundable once work has begun.
  • Monthly subscriptions are billed on the same day each month. You may cancel at any time; service continues through the end of the billing period.
  • One-time fees are due upon completion and delivery of the service.
  • Late payments may result in suspension of Services after a 7-day grace period with written notice.

5. Intellectual Property

  • Client ownership: You own all custom configurations, training data, and business-specific content created for your engagement.
  • Company ownership: Pantoja Digital retains ownership of all proprietary tools, frameworks, platforms, and methodologies (including NullShield scanning technology, Tarvix platform code, and deployment automation).
  • Reports: NullShield security reports are owned by the client upon payment. The report format and methodology remain our property.

6. Limitation of Liability

To the maximum extent permitted by law, Pantoja Digital's total liability for any claim arising from or related to these Terms or the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

We are not liable for: indirect, incidental, special, consequential, or punitive damages; lost profits or revenue; business interruption; or loss of data, even if we have been advised of the possibility of such damages.

NullShield security testing is designed to identify vulnerabilities but does not guarantee the discovery of all possible security issues. Security testing results represent a point-in-time assessment.

7. Confidentiality

Both parties agree to maintain the confidentiality of any non-public information shared during the engagement. NullShield scan results, vulnerability details, and security reports are treated as strictly confidential and will not be shared with third parties without written consent.

8. Termination

Either party may terminate the engagement at any time with 30 days' written notice for monthly subscriptions. Setup fees for work already completed are non-refundable. Upon termination, we will provide reasonable data export assistance.

9. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Texas. The laws of the State of Texas shall govern these Terms.

10. Changes to Terms

We may update these Terms from time to time. We will notify existing clients of material changes via email at least 30 days before they take effect. Continued use of Services after changes take effect constitutes acceptance of the updated Terms.
